Ace’s Terms and Conditions

Definitions:

In these “terms,” Ace Partitioning Systems is referred to as “we,” “us,” and “our.” “You,” “your,” and “they” refer to the person, firm, or company buying services from us. “Services” refer to the goods and/or services we provide to you as a customer. A “buyer” is defined as the person, firm, or company purchasing any materials from us.

1. Quotations

1.1 All quotations provided are valid for a period of 30 days.

1.2 Prices may vary after the 30-day quotation period.

1.3 We reserve the right to revoke any quotation sent to you at any point in writing prior to receiving an official purchase order.

1.4 All quotations are a fixed price for the goods and services described.

1.5 Any additional goods/services will be subject to an uplift in costs from us.

2. Delivery

2.1 Deliveries will be made by either our in-house delivery service or an external courier company instructed by us.

2.2 You must provide a contact telephone number for the person(s) receiving the goods ordered, and they must be available to accept your goods at the date/time slot provided by us.

2.3 Delivery time slots are estimates only, provided in good faith. We cannot be liable for any costs incurred as a result of delayed delivery due to unforeseen problems such as traffic, vehicle failure, or adverse weather conditions.

2.4 A delivery note must be signed by your nominated person upon accepting delivery, confirming all components have been received in a damage-free condition. Any damage or missing items must be noted on the delivery note, and we must be notified in writing immediately.

2.5 The delivery driver will wait a reasonable amount of time for your nominated person to arrive and take receipt of the delivery. If they fail to arrive within adequate time, the delivery will be deemed a failed attempt, and you will incur additional costs for any further delivery attempts.

2.6 We cannot be liable for any damage occurring in the return of goods to us due to a failed delivery attempt.

2.7 We cannot be liable for any losses caused by missed or late deliveries of our materials to the site when using an independent courier service.

3. Quality

3.1 All goods provided by us will be of satisfactory quality as defined by the Sale of Goods Act 1979.

3.2 We guarantee our products to be free of defects and will replace any defective parts free of charge, provided we are notified immediately after delivery.*

4. Payments

4.1 All payments are to be made in British Pounds Sterling and paid directly into our bank account.

4.2 All buyers are expected to pay in full within the assigned payment terms. Failure to pay by this deadline will be considered a default payment, and any other outstanding invoices will be due immediately.

4.3 You may not withhold payment of any invoice or other amount due to us for any reason.

4.4 In the event of default payments, we reserve the right to instruct a debt collection agency to recover all outstanding monies after a minimum of seven days from issuing a written notice of default.

5. Guarantees

5.1 We guarantee the paint on our powder-coated products for ten years*, except where damage or deterioration arises from causes beyond our control, such as mechanical damage, fire, pollution, abnormal weather conditions, or exposure to temperatures above 100 degrees Celsius or to acid or other hazardous sources which are known or believed to be damaging to powder coatings.

6. Force Majeure

6.1 If either party is delayed or prevented from fulfilling any of its obligations due to unforeseen events beyond its reasonable control (e.g., armed conflict, terrorism, natural disasters, strikes, transport disruption), that party shall not be liable for such delay or non-performance, and the time for performance shall be extended by a reasonable period.

7. Legal

7.1 All intellectual property, including trademarks, trade names, patents, registered designs, images, and samples, remains the property of Ace Partitioning Systems Limited.

7.2 You agree to respect our intellectual property rights and will refrain from copying, downloading, transmitting, reproducing, printing, or commercially exploiting any material from our website, emails, or distributed paper copies.

7.3 Any waiver by us of any breach of these terms shall not be considered a continued waiver of that breach or any subsequent breach.

7.4 We accept no responsibility for loss or damage to free-issue materials or components supplied to us, as these are not insured by us. You should arrange adequate insurance coverage.

*According to BS EN 12206-1:2004 Paints and varnishes – coating of Aluminium and aluminium alloys. 4.5.2 Surface Appearance – reads: When the coating on significant surfaces is illuminated and examined at an oblique angle with normal or corrected vision, no blisters, craters, pinholes, or scratches shall be visible from a distance of 3m (products for inside use) or 5m (products for outside use).
